VocaX and Services

Understand the basic terms of the service we provide — clear and transparent — so you can use VocaX with confidence.

Acceptance of the Agreement and Electronic Signing

This End User License Agreement (EULA) and these Terms of Service (referred to below as “this Agreement”) apply to the legal relationship established between you and us in respect of the VocaX application and the related services; VocaX is the product name of this app, and it and the other apps in our series belong to the same company. This Agreement is entered into between you and the publisher named in the “Contact Us” section.

This Agreement applies to your downloading, installation and use of VocaX. On first launch we provide an entry point to the Privacy Policy and an “Agree and Continue” button; that button expresses your agreement to the Privacy Policy, it does not by itself express that you have agreed to this Agreement, and it does not require you to create an account or submit any identity information. Whether this Agreement constitutes a contract, and the scope in which it binds you, are judged under the rules of applicable law on notice of terms and on the formation of and consent to electronic contracts; your mandatory statutory rights and the obligations we bear under the law are unaffected.

If you accept this Agreement on behalf of an entity (such as a company or an educational institution), you represent and warrant that you have the legal power to bind that entity to this Agreement. If you do not agree with any part of these terms, you must stop using the Software and delete it from your device.

Fees, Billing, and Cancellation Policy

Transactions through Apple

You acknowledge and agree that VocaX does not process your payment and does not receive your bank card number, payment credentials or payment account password. Subscriptions, in-app purchases and related transactions completed through the App Store are handled by Apple under the transaction arrangements that apply in your region: in most publishing regions Apple Inc. acts as the Merchant of Record and is responsible for collecting payment, issuing invoices and processing refunds, while in a few publishing regions another affiliated entity may take that role under Apple’s distribution arrangements. To verify the entitlements you have already purchased, to complete transaction binding and to prevent entitlements from being claimed fraudulently more than once, this app processes the subscription transaction identifiers provided by Apple and the digests derived from them. Your transactions are governed by the Apple Media Services Terms and Conditions.

Refund Policy & App Store Processing

Unless applicable law provides otherwise, purchases and subscriptions you complete through the App Store are in principle non-refundable, including refund requests for unused subscription periods, accidental purchases or dissatisfaction with the service content; this does not limit the cancellation, refund or remedy rights, or any other consumer rights, that you enjoy under the mandatory law of your jurisdiction and that cannot be waived by contract.

App Store purchases, billing and requests for a platform refund are handled by Apple under the transaction arrangements of the applicable store region. You may use the request channel Apple provides; the outcome of a platform refund review depends on the rules Apple applies. This clause does not limit your right to claim a refund, a statutory quality remedy or any other non-waivable right from the party properly responsible under applicable law.

Immediate delivery and the right of withdrawal: the digital content and purchased entitlements you buy may begin to be provided, as agreed in the purchase flow, once the transaction is confirmed, without waiting for the withdrawal period to expire. Consumers in the European Union and the United Kingdom generally have the fourteen (14)-day right of withdrawal provided by applicable law; the corresponding exception to that right applies only where the conditions applicable law requires are all met, namely prior explicit consent, knowledge that the right may be lost, performance having actually begun and the confirmation required. This clause does not limit the other rights you hold under the mandatory law of your jurisdiction (including statutory quality guarantees, remedies for defects and consumer rights that may not be waived by contract under the law), and it does not affect refunds approved by Apple as Merchant of Record under its procedures.

Auto-renewal and price changes

Eligible subscription plans may offer a free trial: whether you have a trial and its duration, price and renewal cycle are determined by the information shown at the time on the App Store subscription page and the purchase page, and the trial period is managed by Apple. The subscription renews automatically before the end of the current period under Apple’s charging arrangements, and the exact time of renewal and charge is as Apple displays it. We reserve the right to adjust future subscription prices; where the law requires advance notice or consent, this is carried out according to applicable law and Apple’s transaction arrangements. This terms page and the App Store product page are our formal notice to you of the renewal cycle, the time of charge and the rules for price changes; this App does not itself send separate renewal or price-increase reminders. Apple may send you reminders under its policies and, when a price increases, ask you to confirm the new price — if you do not confirm, the subscription simply does not renew after the current period ends, rather than being charged automatically at the new price. If you do not accept a price change, you may cancel the subscription before the new price takes effect, which does not affect the refund rights and other remedies you have under the law.

Current-period usage limits on the free version

Some features of the free version carry a usage allowance measured by calendar day or calendar week in Coordinated Universal Time (UTC), not your device’s local time (the two can be several hours apart), including AI Translation, networked word lookup, Review Sessions, AI learning reports and some audio unlocked word by word. Once the allowance for an item is reached, new requests for it pause for the rest of that period, and they resume in the next period under the product rules in effect at the time; content you have already obtained remains available under the corresponding entitlement. Subscription entitlements and the specific allowances are as expressly shown on the purchase page and inside the App at the time. We may adjust future allowances for reasonable operating needs; where a material adverse change affects a service you continue to pay for, we perform the notice and necessary remedy obligations the law requires.

Statutory Right of Withdrawal for consumers in your jurisdiction: The conditions governing that exception are those set out in the “Immediate delivery and the right of withdrawal” section above; that exception applies only where those conditions are met; where those conditions are not met, your right of withdrawal is unaffected.

Accounts, Data, and Privacy

Data Integrity and Backup Responsibility

Allocation of risk for data storage and transfer: when you are not signed in, your learning records are kept on this device; once you sign in and turn on the applicable iCloud service, they can sync between devices through the iCloud private database under your account. Please reserve the device storage space and your own iCloud space that important records need, and check the data export or sync state available to you before you change devices. Device failure, insufficient storage space and third-party cloud service problems may affect data availability; the related liability is determined by the actual cause, this Agreement and applicable law.

Right to Data Portability: you can use the export feature the app already provides to obtain, from the flagged list and the favorites pages, CSV files of the corresponding vocabulary; for the other portability requests that applicable law grants you, you can contact us at support@vocax.app, and after verifying your identity as the law requires we will provide the data within the scope you are entitled to obtain.

Device damage, an iCloud sync conflict, an operational error or a network interruption can cause records to be lost, damaged or temporarily inaccessible. Beyond the feature scope we have described, we do not provide a separate backup or manual recovery service; for losses caused by these events, each party’s liability is determined by the actual cause, the “Limitation of Liability” clause of this Agreement and applicable law, and liability that may not be excluded or limited under the law is not affected by this clause.

You must be at least thirteen years old (or the higher minimum age required by the applicable law of your place and by Apple’s platform rules) to create an account and use our services. For someone below this age, an Apple account may be created by a parent or legal guardian using Family Sharing, or by an approved educational institution. A parent or legal guardian who creates an account for a minor should read this Agreement carefully together with that minor so that both understand it.

Data Synchronization and Cloud Storage

This app uses Apple’s iCloud (CloudKit) service to sync your learning progress, favorites, and settings across your devices.

Service dependence: iCloud syncing is affected by your Apple account status, your network connection, the storage space available and the state of Apple’s services, so updates between devices may be delayed. When several devices modify data while offline and then reconnect, automatic merging may cause version conflicts or overwrite some recent records. If syncing goes wrong, liability is determined by the actual cause and applicable law; liability that may not be excluded or limited under the law is unaffected.

Guest Mode and Data Retention

You can use this app as a guest without registering or signing in.

Local Storage: All learning records, favorites and settings in guest mode are stored only locally on your current device. Risk of Loss: If you uninstall this app, format your device, or the device is damaged, this app does not provide any recovery service for guest data; whether the device’s system backup has ever kept a copy, and for how long, is determined by Apple’s backup mechanism and is beyond this app’s control.

Signing in is recommended: if you want to sync your learning data between several devices, you can sign in with your Apple ID and turn on iCloud. The learning data kept after you sign in is stored in your own iCloud private database and synced between your devices, and this does not amount to a separate backup; The app reports no “sync finished” signal — when a sync lands is up to Apple, so before you change devices leave this one online with VocaX open for a while to get your recent records up.

Learning Progress Saving Mechanism

To keep responses instant while you swipe, your learning progress is first recorded in the running memory of this device and is then written into the device’s local storage at a timing the system chooses; when you are signed in and have synchronization turned on, that part of your records syncs between devices together with your own iCloud private database.

On a power loss to the device, a forced shutdown by the system, an abnormal termination of the app or insufficient memory resources, recent progress not yet written to persistent storage may roll back or be lost. To the extent permitted by applicable law, we make no commitment to restore temporary records whose persistence was not completed; liability for the related losses is determined by the actual cause and applicable law, and liability that may not be excluded or limited under the law is unaffected.

Local Storage and Caching

To improve loading speeds, this app creates a local database and image cache files on your device. The app may occupy a certain amount of storage space.

iOS may automatically clear some cache files when storage space is low, which may result in resources being re-downloaded and data being consumed the next time you open the app. This is normal operating system behavior and not an app malfunction.

Delete Account and Its Data

You have the right to delete your account at any time and to remove the account data within this app’s control. Deleting your VocaX account does not automatically cancel the subscriptions you bought through Apple; cancelling a subscription is managed under Apple’s transaction arrangements. We do not keep your identity in its original form, your nickname, your learning content or your payment and billing information; for service delivery, security and abuse prevention we keep only the limited metering and security entries described in the “Privacy Policy”, together with subscription transaction bindings. The field in them that stands for you is a code computed from a key that we hold: it does not directly contain your name, email address or phone number, and it cannot be reversed directly from outside, but where we also hold the related records at the same time it can be used to link consecutive calls to the same installation or to the same account, so it is pseudonymous information and is not equivalent to anonymous information.

Irreversibility: account deletion removes the learning records, weight data, favorites and preferences within this app’s control; the copy on this device is erased by this App on this device, and for signed-in users the learning records enter the deletion process and a removal request is initiated against your iCloud private database. When that removal completes in your own iCloud private database is decided by Apple’s systems and by network conditions, and we do not confirm to you on Apple’s behalf that it has completed. After your account is deleted we cannot recover this data for you; the small number of counters, device credentials and subscription transaction bindings that are kept across account deletion to prevent abuse are described in the “Data Retention” section of the Privacy Policy. For data lost because an account was deleted, VocaX bears no data recovery obligation; liability that may not be excluded or limited under the law is not affected by this clause.

Learning Data & Storage

Your learning data is stored on your own device and in your iCloud private database. We do not keep these records and we cannot read their content; on the device, this app reads and writes, through the authorized interfaces Apple provides, the records necessary to provide you with the features. These records are under your own control; as for the materials you submit or obtain through the service, each party’s responsibility is determined by the processing it actually carries out and by applicable law; liability that may not be excluded or limited under the law is not affected by this clause.

Learner profiles: in order to provide more accurate learning suggestions, this app generates a localized learner profile from your usage habits. Such profiles are used only to refine algorithmic recommendations and to generate encouraging messages, and they are not an assessment of your personal ability, intelligence or character. Profiles are generated locally on your device; when an AI learning report is generated, the learning statistics, difficult words and wrong answers needed for that report are sent to the third-party AI provider for processing as part of the prompt. This kind of data is not used for advertising profiles and is not sold to third parties.

Statement on AI Technical Characteristics and Output Indeterminacy

Probabilistic and Non-deterministic Nature

The user acknowledges and agrees that the Generative Artificial Intelligence (GenAI) technology integrated into this service operates based on probabilistic and statistical models and is inherently non-deterministic and stochastic.

• Limitation on accuracy: AI-generated content may contain factual errors, logical contradictions, omissions or material unsuited to a particular context. Apart from the quality obligations and statutory remedies that applicable law provides may not be excluded, we do not warrant that any particular output is fully accurate, complete or suited to your particular purpose.
• Exercise your own independent judgment about AI output, and in particular do not treat it as your sole basis for a high-stakes matter such as medicine, law, finance or engineering safety. For such uses, seek the opinion of personnel who hold the corresponding qualifications; each party’s liability is determined by its actual conduct and applicable law, and liability that may not be excluded or limited under the law is unaffected.
• Output Non-determinism: Multiple queries based on the same input may result in different AI outputs. VocaX does not guarantee output consistency or reproducibility.

Non-Exhaustive Nature of Lexicographical Compilation

VocaX’s vocabulary database is a curated subset of high-frequency words built upon specific linguistic statistical models (such as GSL, AWL, and CEFR frequency tables). You understand and agree that this application is designed to cover core vocabulary in general contexts, rather than serving as an exhaustive, encyclopedic dictionary.

The exclusion of certain low-frequency words, archaisms, highly technical terms, or emerging slang falls under our Curatorial Discretion. VocaX does not guarantee the inclusion of all words you may search for; to the extent that applicable law permits the limitation of liability, and without affecting any liability that may not be excluded or limited by law (including your consumer rights that cannot be waived), VocaX does not assume any liability to compensate you for any learning inconvenience caused by the inability to find specific rare terms.

Speech Recognition and Read-Aloud Check Limitations

The read-aloud check feature of this app relies on your device’s built-in hardware(microphone)and Apple’s on-device speech recognition framework.

The accuracy of this technology is affected by various uncontrollable factors, including but not limited to: (i) ambient background noise; (ii) the quality or aging of your microphone hardware; (iii) your non-native accent or pronunciation habits; (iv) the performance and system load of your device at the time.

The results of pronunciation recognition and the read-aloud check are affected by noise, microphone state, accent, device performance and other factors; the results are meant to support practice and do not constitute a certified result in a professional language exam. We make no commitment that they reach the accuracy of any particular exam; if a feature fails or does not meet the digital service quality requirements the law provides, the mandatory statutory remedies you have are unaffected.

Nature of Corpus & Academic Limitations

VocaX’s content generation is based on the statistical probabilities of large-scale corpora (Descriptive Linguistics), rather than normative grammar rules (Prescriptive Grammar). Therefore, AI-generated sentences may contain colloquialisms, slang, or informal usage, which may differ from the strict academic standards of standardized tests (such as TOEFL/IELTS). Users should regard this app as a ‘language environment immersion tool’ rather than an ‘exam standard answer key’.

Prohibited for use in high-risk scenarios

Do not treat this App’s content as your sole basis for a medical diagnosis, a legal document, the translation of a financial contract or an important exam decision; where necessary, consult authoritative sources or verify with a qualified professional. For losses arising from use of the content concerned, our liability and that of the other parties legally responsible is determined by the “Limitation of Liability” clause of this Agreement and applicable law, and liability that may not be excluded or limited under the law is not affected by this clause.

Content Neutrality

AI models may generate example sentences that reflect social biases or stereotypes present in the training data. This content is automatically generated by algorithms and does not represent the values of VocaX. We recommend that users under the age of 18 use the service under the guidance of a guardian. If you encounter inappropriate content, please write to us through “Get Support” in the app.

Ownership and Licensing of Inputs and Outputs

As between you and us, you retain the rights you hold in lawful input. As for the output the service generates, we grant you those rights to the extent of the rights we hold under the law and may transfer; whether the output is protected by intellectual property rights, whether you may use it exclusively and whether third-party rights are involved are all judged under applicable law.

Due to the probabilistic nature of machine learning, outputs may not be unique, and other users may receive similar or identical outputs from the AI. For example, if another user queries the “definition of the word Apple,” the AI may generate the same response as it did for your query.

Because AI output may lack originality, different users may receive the same or similar content. The intellectual property rights you may assert in the output, and their scope, are judged under applicable law; this Agreement does not grant you rights another person already held, and it does not give you an exclusive right over commonplace facts, phrases or content another person created independently.

AI Simulation and Unofficial Affiliation Disclaimer

This app provides preset recordings and synthesized speech. Synthesized speech is not the person on the recording speaking in person; the related voices and the personal information they carry are handled in accordance with the technology this app actually uses and the source of the content; for the processing of recordings of you yourself, see the corresponding disclosures in the Privacy Policy on the read-aloud check and learning records.

AI may mimic specific linguistic styles, rhetorical rhythms, or dialectal accents (e.g., “Beijing-style Crosstalk” or “American Stand-up Comedy Style”). This stylistic imitation is intended to aid language retention through humor and exaggeration and does not imply the involvement of any specific public figures.

Unless we expressly state otherwise, this App’s mention of a third-party person, work or brand is for content description, teaching or reasonable identification only, and does not mean that they sponsor, endorse or give commercial backing to VocaX; the corresponding rights belong to their respective rights holders.

Health, Safety and Equipment Performance

⚠️ Photosensitive Epilepsy and Visual Health Warning

This app features intense visual effects, including but not limited to: high-frequency flickering animations, fluid gradient backgrounds, Extended Dynamic Range (EDR) color display, and complex parallax scrolling effects.

A very small percentage of individuals may experience photosensitive epileptic seizures, fainting, or temporary blurred vision when exposed to certain light effects or flashing patterns. Even if you have no history of epilepsy, you may have an undiagnosed condition. If you have a history of epilepsy or experience dizziness, eye discomfort, muscle twitching, or disorientation while using this application, please stop using it immediately and consult a doctor.

Hearing Safety and Audio Alerts

The brainwaves (alpha, theta, gamma) and related ambient music provided by this app are for leisure, entertainment, and relaxation purposes only, and do not have any medical diagnostic or therapeutic functions.

Epilepsy Warning: Users with photosensitive epilepsy or a history of seizures should consult a doctor before listening to specific frequency audio.

Special warning for minors: the brainwave-themed audio in this app (the tracks named after α, θ and γ) is listening content arranged around that theme; it does not constitute functional audio, and it provides no assurance of any effect in attention training or in health intervention. Users under thirteen must not use it on their own; it should be used with a guardian present, with the volume and the length of listening kept under control. Users aged thirteen or above who are still minors should likewise be guided by a guardian according to their age and their actual situation, and should listen at a comfortable volume and for an appropriate length of time. Guardians should supervise the length of use and the volume. If any discomfort arises while listening, please stop using it.

For audio that may distract you or make you drowsy, do not use it while driving, operating machinery or in any other setting that requires sustained attention. The risks and losses arising from improper use are allocated by the actual cause, this Agreement and applicable law; liability that may not be excluded or limited under the law is unaffected.

Device Performance and Resource Consumption

To achieve liquid glass effects, real-time parallax response, and high frame rate animations, this app makes extensive use of the device’s GPU (Graphics Processing Unit).

On devices with lower performance, restricted heat dissipation or an aging battery, visual effects may raise temperature, increase power consumption or affect operating speed. Please use them reasonably according to the state of your device. The effect of this service on your device and the related losses are determined by the actual cause, whether a product defect exists and applicable law; liability that may not be excluded or limited under the law is unaffected.

Audio Sessions and System Interruptions

The speaking practice feature relies heavily on the device’s audio hardware. When system-level audio events occur (including but not limited to incoming calls, alarms, Siri activation, or audio playback from other apps), the app’s recording or playback functions may be forcibly interrupted or muted by the system. This is a standard iOS system mechanism, not an app malfunction.

Keeping real-time voice recognition active for extended periods is power-intensive and may cause your device to heat up or drain the battery quickly. We recommend monitoring your device’s status.

License and Usage Rules

Scope of License

Subject to your compliance with this Agreement and applicable law, we grant you a non-exclusive, non-transferable license to use VocaX on Apple-branded devices you own or control, under the Apple Media Services terms and within the feature scope shown at the time of purchase. This clause does not improperly restrict Family Sharing or volume-purchase use that the law permits.

Unless otherwise permitted by applicable law, you may not reverse engineer, disassemble, attempt to derive source code, modify, or create derivative works of the Service, nor may you use any automated tools (such as scripts, crawlers) to access the Service.

Usage Rules

Your use of the Service must comply with this Agreement and all applicable laws. You may only use the Service and Content for personal, non-commercial purposes unless otherwise agreed.

You agree not to:

• Use the service for any illegal, fraudulent, or malicious purposes
• Attempt to crack, decompile, reverse engineer, or modify this application
• Abuse, interfere with, or disrupt the normal operation of this service
• Infringe upon the intellectual property, privacy, or other rights of others
• Use any automated means (such as bots or crawlers) to interfere with the interactive interface of the Service
• Copy, distribute, or modify service content for commercial purposes
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices of VocaX or third parties

If you breach these rules, we reserve the right to terminate your license to use this Service or to restrict your access to online features (such as AI translation); responsibility arising from this is handled under the “Limitation of Liability” section of this Agreement and applicable law, and it remains subject at all times to “Exceptions to Statutory Liability”.

Some features may require additional permissions, such as microphone access (for speaking practice). You can manage these permissions at any time in your device settings.

Intellectual Property

Statistical properties of the lexical index

VocaX does not claim original rights to the spelling of specific words, International Phonetic Alphabet (IPA) symbols, or alphabetical ordering, nor does it recognize any single entity’s monopoly copyright over word lists of common human languages.

Reverse engineering prohibited

Except for interoperability, security research, lawful backup and other such activities expressly permitted by applicable law, the protected code, databases or proprietary assets of this app may not be extracted without authorization, nor may that content be used for infringement, to disrupt the service or for any other unlawful commercial exploitation.

Other proprietary materials

Proprietary information and materials included in the Service (including but not limited to interface design, code, trademarks, and the word lists and definitions we compile) are owned by VocaX to the extent of the rights it holds, and are protected by intellectual property laws; content coming from third parties (for example the audio and tracks provided through third-party services and the materials generated through third-party tools) is handled under its respective license terms, and we assert no ownership of it. Without our prior written authorization, you may not copy, modify, distribute, sell, or exploit the foregoing content that is owned by us in any form.

Unsolicited Feedback

If you voluntarily send VocaX suggestions for improving the Service, ideas, concepts or feedback (hereinafter, “Feedback”), you keep the rights you have in the Feedback itself under the law, and you grant VocaX a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, sublicensable and transferable license to use, copy, modify, adapt, develop, distribute and commercialize that Feedback for the purpose of improving, operating or promoting VocaX. That license does not cover media content, personal information or third-party material that you did not submit as Feedback, and it does not require VocaX to adopt or respond to the Feedback or to pay you for it; rights that may not be waived or assigned under the law are not affected by this clause.

Trade Dress and Know-how

The overall visual identity system of this service (including but not limited to the rendering logic for liquid glass effects, physical parameters of parallax scrolling, and dynamic color adaptation algorithms) constitutes VocaX’s unique “trade dress”.

Without authorization, you may not copy or use the source code, interface expression, trademarks or other proprietary assets of VocaX that are protected by law in order to carry out infringement, including through “pixel-level copying”, “feature cloning” or extracting the assets of this Service with automated tools. Independently developing a product with similar features is not itself prohibited by this clause. VocaX may seek injunctive relief, damages or other available remedies for infringement under applicable law.

UI/UX Design Proprietary Rights

We or the relevant rights holders hold the corresponding rights in VocaX’s interface expression, code, visual assets and other works protected under the law; this Agreement does not assert exclusive ownership over commonplace interaction patterns, technical ideas or design elements that are not protected.

Prohibited conduct: you may not copy or use the protected UI/UX design of VocaX beyond the scope that applicable law permits, including by screen recording, reverse engineering or pixel-level imitation used to carry out infringement. This clause does not restrict other uses that applicable law expressly allows.

In the event of unauthorized UI/UX plagiarism, VocaX reserves the right to pursue legal action through DMCA notices, litigation, or other legal means, including but not limited to seeking injunctive relief, the destruction of infringing materials, and recovery of damages and attorney’s fees.

AI Services and Data Disclaimer

User Input and Permissions

You retain the rights you hold in lawful input content, and you grant us and the service providers necessary to complete that request a non-exclusive license to process that content only to the extent needed to provide the feature requested. You should make sure that you have the right to provide the input concerned; this license is not authorization to use input for general model training or for any other unrelated purpose.

Service Improvement and Data Use Permission

You authorize only VocaX and the third-party AI providers necessary to complete that request to process and transmit your Input in order to generate Output. VocaX itself does not require a perpetual or irrevocable training license and does not use your Input or Output to train, test or fine-tune general artificial intelligence models. How those third-party providers handle Input, and whether and for how long they retain it, depends on their own terms; we make no commitment on their behalf, and we cannot confirm it for them. For the providers we have selected in order to deliver the features, we perform, under applicable law, the corresponding obligations of selection and management, of notification and of transfer arrangements, and those obligations are not reduced or exempted by the providers’ own documentation.

Prompt injection and abuse are prohibited

You may not deliberately abuse the AI features through prompt injection, circumvention of security measures, automated attacks or other means in order to carry out unlawful acts, infringe third-party rights or materially impede the operation of the service. Within the scope that the law permits and that is technically enforceable, we may apply proportionate restrictions to the affected online features.

Third-Party Generative AI

The translation and content generation features of this service integrate third-party artificial intelligence technology. When you use these features, VocaX instantly forwards the text snippets needed to complete that request to that third-party service provider for processing. We do not keep the request body, and we do not use it for training or analysis; the entries kept for metering, abuse prevention and troubleshooting do not contain the request body. No Warranties

Given the nature of AI technology, you understand and agree that any content generated by the service (including but not limited to translations and grammatical analyses) may contain errors, inaccuracies, or fabricated information (“hallucinations”). This content is for reference only and should not be considered legal, medical, investment, or other professional advice.

Fair Use Policy

To ensure service availability for all users, high-frequency abuse of AI interfaces (such as batch requests via scripts) is strictly prohibited. If we detect abnormal or abusive calling patterns, we may limit, suspend, or terminate your access to related AI features within the scope that the law requires and that is technically feasible; where applicable law requires advance notice or a statement of reasons, we act in accordance with that law. Amounts already paid are handled under Apple’s refund policy.

AI Visual Generation and Third-Party Intellectual Property Defense

Visual Memory Anchors

The images used for vocabulary instruction in this app (“visual assets”) are not illustrations or art reproductions in the traditional sense, but visual memory anchors generated based on cognitive psychology principles.

Its sole function is to assist in vocabulary encoding and retrieval through exaggeration, association, and symbolism.

Responsibility for User-Generated Content

If a user induces the system to generate content that infringes on third-party intellectual property rights through specific prompts:

1. This act of generation is a personal creation of the user.

2. You bear the responsibility that the law places on you for the way you use generated content and for the consequences of that use. If a third party brings a claim against VocaX because you deliberately or negligently breached this Agreement or infringed a third party’s rights, you bear VocaX’s actual and reasonable losses, costs and expenses (including reasonable attorneys’ fees) only for the part attributable to you under the law; the part caused by VocaX’s own conduct or by common fault is not yours to bear.

Intellectual Property Complaints

The materials in this app (word lists and definitions, audio such as pronunciations and background music, images, and content data packs) are compiled by us or generated through third-party tools and services, and are provided to you with this app’s content data pack; this app does not provide a service that displays the content you import to other users or distributes it to them, and it does not accept content provided by you that is intended to be publicly displayed to other users. If you believe that the materials we deliver to you, or content you have imported into this app, infringe your rights, please send a notice to support@vocax.app together with proof of ownership of the rights; we will verify and handle it in accordance with applicable law, within the scope of the processing authority we actually hold, including pinpoint deletion of the content we provide.

Service Changes and API Availability

No Service Level Agreement

VocaX provides no Service Level Agreement (SLA). We may adjust generation speed, replace the underlying model or adjust the related features because of rate changes by an upstream provider, deprecated interfaces, compute limits or other reasonable causes; if such a change would have a serious adverse effect on a paid digital service that continues to be provided, we give notice in advance as applicable law requires.

Certain features of VocaX (such as style rewriting, grammar parsing, word definitions, and learning report generation) rely on third-party AI services. You understand and agree that the availability of these features is subject to the operational status and commercial terms of the third-party providers.

For reasonable causes we may change the underlying AI model provider, adjust the number of API calls, or adjust some AI features so that they are available only to Opus members; for changes that may affect the paid benefits you hold, we give notice in advance in accordance with applicable law.

Third-party service dependency

Some features of VocaX depend on the continued availability of third-party artificial intelligence providers. When a third-party service fails, is rate-limited, adjusts its policies or stops providing service, we may adjust, restrict or suspend the related features and will try our best to find alternatives, and we do not guarantee that service of the same quality is always provided. Where a failure of an external service causes abnormal situations, each party’s responsibility is determined according to the specific facts and within the scope that applicable law allows.

If a third-party service we rely on is unavailable for an extended period or no longer meets reasonable operating conditions, we may adjust, replace or discontinue the affected features; where a change has a material adverse effect on a digital service you continue to pay for, we perform the obligations of explanation, notice and any necessary termination or remedy that applicable law requires.

Audio Services and Technical Restrictions

Third-party music service dependency (Apple Music)

Some audio content of this service (including but not limited to the Classical and Minimalist sections) relies directly on the Apple Music service. You understand and agree that:

(i) Playing this content requires you to hold a valid Apple Music subscription of your own; this app does not include, and does not act as an agent for, any Apple Music subscription services. (ii) To the extent that applicable law allows, this app shall not be held liable if audio cannot be played due to Apple Music service interruptions, API changes, copyright removals, or the expiration of your subscription, and liability that may not be excluded or limited under the law is not affected by this clause. (iii) This app serves solely as a playback control tool and is not responsible for the accuracy, completeness, or copyright ownership of the specific music content provided by Apple Music.

Data usage and network charges

To save your mobile data and speed up loading, we temporarily cache downloaded audio files and images in the app sandbox on your device. The system may clean up this cache automatically when storage space runs low, and reinstalling the app also clears it.

You acknowledge and agree that using this service (especially in non-Wi-Fi environments) will consume mobile data, and any associated costs shall be borne by you. For playback buffering, download failures, or resource loading errors caused by an unstable network environment (such as CDN node failures or ISP throttling), this application bears no liability to compensate for service interruption; liability that may not be excluded or limited under the law is not affected by this clause.

Audio Focus and System Interruptions

Audio Focus Management: This app may adjust audio focus during playback based on system mechanisms (including but not limited to lowering the volume of or pausing other apps). You understand that this is part of the system’s audio policy, and this app is not responsible for any missed audio from third-party apps (such as navigation or alarms) resulting from this.

Background Running: This app supports background playback. If playback is unexpectedly interrupted or the app process is terminated due to system resource constraints (such as insufficient memory), power-saving mode policies, or system-forced hibernation, this is considered normal system behavior for mobile devices and is not a service failure.

Storage and Cache Management

To improve playback speed and save data, this app caches certain audio, image, and data files to your device’s local storage. You are responsible for monitoring your device’s available storage space; within the limits permitted by applicable law, and without affecting any liability that may not be excluded or limited by law, the app is not liable for any caching failures, app crashes, or system performance issues resulting from insufficient storage. When storage space is low, the system may automatically clear some cache files, and re-playing content after clearing the cache will consume network data again.

Accuracy of educational content

The word definitions, translations, pronunciations, and related educational materials provided by this application are for reference only. While we strive to ensure the accuracy of the content, language learning involves inherent polysemy and contextual differences. This application makes no warranties, express or implied, regarding the absolute academic accuracy, completeness, or suitability of the content. You should not rely solely on the content of this application as your only basis for language learning or for rigorous academic or translation work.

Apple’s Role and Third-Party Beneficiaries

Apple Assumes No Responsibility

You understand and agree that this Agreement is concluded between you and us, and not between you and Apple. We are responsible for the maintenance and support of VocaX and its content; except as applicable law otherwise provides, Apple bears no maintenance or support obligation for this App.

Third Party Beneficiaries

You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of this Agreement. Once you download this program from the App Store and accept this Agreement, Apple will have the right (and will be deemed to have accepted that right) to enforce the provisions of this Agreement that concern it against you as a third-party beneficiary.

Disclaimer and Limitation of Liability

Indemnification

Within the scope that applicable law allows, if a third party brings a claim against VocaX and its affiliates, senior officers, directors, employees, agents, licensors and service providers (hereinafter, the Indemnitees) for any of the reasons below, you bear the Indemnitees’ actual and reasonable losses, costs and expenses (including reasonable attorneys’ fees) arising from that claim only for the part attributable to you under the law, and the part caused by VocaX’s own conduct or by common fault is not yours to bear: (i) you breach this Agreement; (ii) you infringe the rights of any third party (including intellectual property or privacy rights); or (iii) your willful misconduct or gross negligence for which you are answerable under the law.

Exceptions to Statutory Liability

Nothing in this Agreement excludes or limits liability for death or personal injury caused by VocaX’s negligence, for fraud or fraudulent misrepresentation, for willful misconduct, for gross negligence the liability for which may not be limited under applicable law, or for product liability that may not be limited by law; nor does anything in this Agreement exclude or limit the statutory remedies you have under applicable law in respect of digital content or services that cannot be waived by contract, such as requiring quality, repair, replacement, a reduction in price or a refund, or any other liability that may not be excluded or limited by law. Any clause excluding liability, excluding a category of damage or capping an amount takes effect only within the scope that applicable law allows.

Limitation of Liability

No Fiduciary Relationship and Educational Disclaimer

VocaX assists with language learning; its content does not constitute medical, legal or other professional advice, and it guarantees no particular exam score or degree of language improvement. For losses a user incurs by relying on the output, each party’s liability is determined by the actual cause, the “Limitation of Liability” clause of this Agreement and applicable law; liability that may not be excluded or limited under the law is unaffected.

Dispute Resolution and Governing Law

Applicable Law

This Agreement, and the contractual rights and obligations arising under it, are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of laws rules.

If you are a consumer under applicable law, the choice of Ohio law in this Section does not deprive you of the protection afforded by the mandatory rules of the law that would have been applicable in the absence of that choice and that cannot be excluded or restricted by contract. Where applicable law requires that other mandatory provisions apply to particular matters, those provisions apply to the extent required by that law.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to this Agreement.

Dispute Resolution

If a dispute arises out of or in connection with this Agreement or the Service, the parties may first attempt to resolve it in good faith through negotiation, using the contact email address set out in this Agreement.

If the dispute is not resolved through negotiation, or if either party is entitled under applicable law to bring a claim directly, either party may, in accordance with applicable law, submit the dispute to a court of competent jurisdiction or to any other authority duly empowered to adjudicate the dispute.

This Agreement does not designate any court as having exclusive jurisdiction, and it does not require that disputes be resolved through mandatory arbitration. If you are a consumer under applicable law, nothing in this Section limits your right to bring or defend proceedings, the remedies available to you by law, or any other procedural right that cannot be excluded or waived by contract under applicable law.

Global Trade Compliance and Export Control

AI Computing Power and Technology Export Controls: User acknowledges that this service may use controlled artificial intelligence technology, algorithms, and encryption technology. This service is governed by the U.S. Export Administration Regulations (EAR), the sanctions regulations of the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), and the laws of your jurisdiction.

Sanctioned Regions and Blacklisted Entities

You represent and warrant that: (i) you do not access or use this Service within the scope prohibited by the applicable export control or economic sanctions laws; and (ii) you do not supply this Service to individuals, entities, regions or end uses restricted by law; the restrictions that govern are those of the applicable law in force at the time and the lists published by the competent authorities.

Prohibited Use Statement

You represent and warrant that you will not use this Service to develop, design, manufacture or use nuclear weapons, biological or chemical weapons, missile technology or other weapons of mass destruction, and that you will not use it for mass surveillance systems. You further undertake that you will not supply this Service to restricted end users or for restricted end uses before the licenses required by applicable law have been obtained.

Adjustment or Discontinuation Due to Legal Restrictions

If applicable law prohibits us from providing new versions, transactions or support to a particular region, to particular parties or for a particular end use, we will stop the corresponding future provision within the scope that the law requires and that is technically feasible. The installed app and the files on your device are controlled by your device.

Other Provisions

We may update this Agreement for reasonable reasons of a legal, regulatory, security, feature or compatibility nature. An update applies prospectively only and does not retroactively deprive you of entitlements you have already obtained; where we make a material adverse change to a digital service you continue to pay for, we comply with the requirements of applicable law as to a valid reason, adequate notice, notification on a durable medium and the rights of termination and remedy necessary in the circumstances. Continued use may count as acceptance of a validly made update only where the law allows it.

This Agreement constitutes the entire agreement between you and VocaX, applies to your use of the Service, and supersedes any prior agreements between you and VocaX on the same subject.

If any provision of this Agreement is held, in particular circumstances, to be invalid, unlawful, or unenforceable, that provision shall not apply solely in those circumstances and to the extent necessary. The remaining provisions shall continue in full force and effect, except where applicable law requires that this Agreement no longer continue in effect as a whole.

No provision of this Agreement shall be construed as excluding or limiting any right conferred by applicable law that cannot be excluded or limited by contract.

The failure of VocaX to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision or any other provision.

For delay or non-performance directly caused by events beyond VocaX’s reasonable control that cannot be avoided or overcome by reasonable efforts (such as force majeure events, natural disasters, war, terrorist attacks, cyberattacks, etc.), VocaX bears no corresponding liability for breach within the scope and for the period actually affected by the event; liability that may not be excluded or limited under the law is not affected, and your rights of termination and of remedy under applicable law are not affected.

You agree to comply with all local, state/provincial, federal, and national laws, statutes, ordinances, and regulations applicable to your use of the Service.

No employee or agent of VocaX has the authority to vary this Agreement.

We may assign our rights and obligations under this Agreement in their entirety to a successor as a result of a merger, acquisition, or restructuring of our assets or business, without obtaining your separate consent; the assignment does not diminish the benefits you have already acquired and does not increase your obligations, and the assignee assumes our obligations under this Agreement in their entirety. The assignment will be published on the page of this Agreement, both inside the app and on our official website, and the content you actually receive is what governs; where the applicable law grants you a right to object or to terminate, we act in accordance with it. You may not assign your rights or obligations under this Agreement without our written consent, unless applicable law provides otherwise.

Special Provisions for International Users

Nothing in this Agreement excludes or limits the mandatory rights that cannot be waived by contract and that you enjoy under the consumer law of your jurisdiction. If a provision of this Agreement is found unenforceable in your jurisdiction, that provision does not apply in that jurisdiction, the matter concerned is settled by the mandatory legal rules of that jurisdiction, and the remaining provisions of this Agreement stay valid.
